Terms of Service

1. Provision of Service

StaffSynchr provides a cloud-based HR and Payroll software platform. We grant you a non-exclusive, non-transferable, limited right to access and use the Service solely for your internal business operations during the subscription term. We reserve the right to modify, update, or discontinue features of the Service at any time, provided that such changes do not materially degrade the core functionality you have subscribed to.

2. Customer Responsibilities

As a user of the Service, you are responsible for:

• Maintaining the confidentiality of your account credentials and all activities that occur under your account.
• Ensuring that all data (including employee details, attendance, and compensation structures) inputted into the Service is accurate and lawfully obtained.
• Complying with all applicable Indian labour laws, tax regulations, and data protection laws (including the DPDP Act 2023) when using the platform.

You agree not to use the Service for any unlawful purpose, to upload malicious code, or to attempt to gain unauthorized access to the Service's infrastructure.

3. Fees and Payment

Use of the Service is subject to the payment of subscription fees as set forth in your service agreement or on our Pricing page. Fees are billed in advance on a monthly or annual basis and are non-refundable. All fees are exclusive of applicable taxes (such as GST), which will be added to your invoice at the prevailing statutory rate. Failure to pay fees may result in the suspension or termination of your access to the Service.

4. Intellectual Property

StaffSynchr IP: We retain all rights, title, and interest in and to the Service, including all software, design, interfaces, code, and trademarks. Your use of the Service does not grant you any ownership rights.

Customer IP: You retain all ownership rights to the data you input into the Service. You grant us a license to host, process, and transmit your data solely as necessary to provide and support the Service.

5. Data Privacy and Security

Our collection and use of your personal and employee data is governed by our Privacy Policy. By using the Service, you consent to the processing of your data as described in the Privacy Policy. We maintain robust administrative and technical safeguards designed to protect the security and confidentiality of your data.

6. Limitation of Liability

To the maximum extent permitted by applicable law, StaffSynchr and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, arising out of or related to your use of the Service. Our total liability arising out of these Terms shall not exceed the total amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the liability.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
